THESE ARE THE RULES (referred to collectively as "QUBE Rules") OF QUBE, THE PRIVATE NETWORKING CLUB OF QUINTESSENTIALLY. PLEASE PRINT THESE CLUB RULES AND QUBE RULES AND READ THEM CAREFULLY.

QUBE is owned and operated by Quintessentially Publishing Limited (“Quintessentially Publishing”)As a registered Member of QUBE (“QUBE Member”), you agree that your Membership is subject to these Club Rules and you agree to abide by them.

1. QUBE
1.1. QUBE is an online membership networking club owned and operated by Quintessentially Publishing offered to enable Quintessentially members and certain invited non Quintessentially members to find and connect with each other.
1.2. Access to and use of the Members section of the QUBE website ("Site") is through a combination of user name and password and is reserved exclusively for Members. You are solely responsible for maintaining the confidentiality of your user name and password and you agree to notify QUBE immediately if you believe that there has been any breach of security (e.g. the unauthorised use of your name and password). You are accountable for all activities regarding your Membership, with or without your knowledge or permission.
1.3. The Site and QUBE Membership are not available to the general public and membership requires an invitation.
1.4. You automatically grant QUBE a worldwide, non-exclusive, royalty-free, perpetual, irrevocable right to display any content that you submit or post on the Site.
1.5. We will never rent or sell your personally identifiable information to third parties without your consent.
1.6. We will never share your contact information with another QUBE Member, without your consent.

2. QUBE MEMBERSHIP
2.1. QUBE Membership is free.
2.2. QUBE may, for any reason whatsoever, immediately terminate or suspend your QUBE Membership and access to the Site without prior notice. QUBE shall not be liable to you nor any third-party for any termination of your QUBE Membership or access to the QUBE Site.

3. USING YOUR QUBE MEMBERSHIP
3.1. You may not falsely state, impersonate, or otherwise misrepresent your identity, including but not limited to the use of a pseudonym, or misrepresenting your current or previous positions and qualifications, or your affiliations with a person or entity, past or present.
3.2. You may not upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation.
3.3. You may not upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
3.4. You may not post content or initiate communications which are unlawful, libellous, abusive, obscene, discriminatory, or otherwise objectionable.
3.5. You agree that you will not stalk or harass another QUBE Member.
3.6. You may not upload, post, email, transmit or otherwise make available any content or initiate communications which include information that you do not have the right to disclose or make available under any law or under contractual or fiduciary relationships (such as insider information, or proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements).
3.7. You may not upload, post, email, transmit or otherwise make available any content or initiate communication that infringes upon patents, trademarks, trade secrets, copyrights or other proprietary rights.
3.8.  You may not upload, post, email, transmit or otherwise make available any content or initiate communication which includes nudity, pornography and images of a sexual nature.
3.9. You may not monitor, data-mine, or copy our web pages or any content within the Site, nor collect, archive, trade or sell any personal data or communications about other members.
4.0.. You may not use any robot, spider, site search or retrieval application, or any other device to copy, retrieve, archive or index any portion of QUBE.

4. DISCLAIMER
4.1. You understand and agree that QUBE is provided on an “as is” and “as available” basis and that Quintessentially does not assume any responsibility for prompt or proper delivery, or retention of any user information or communications between users. Quintessentially assumes no responsibility for the accuracy or existence of any communications between users. Quintessentially expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement. Quintessentially makes no warranty that (i) QUBE Membership will meet your requirements, (ii) QUBE Membership will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from use of the QUBE Membership will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the Site will meet your expectations, and (v) any errors in the software will be corrected.
4.2. No advice or information, whether oral or written, obtained by you from Quintessentially or through or from QUBE Membership shall create any warranty not expressly stated in this user agreement.
4.3. Any material downloaded or otherwise obtained through the use of QUBE Membership is done at your own discretion and risk and you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.
4.4. Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

5. LIABILITY
5.1. We reserve the right to remove any content posted by you or other QUBE Members at our sole discretion, in the event that we consider the content may infringe or violate any party's intellectual property or privacy or for any other reason including that it is obscene, unlawful, threatening or defamatory.
5.2. You understand and agree that you may encounter material with which you disagree or find objectionable. You accept this and do not hold Quintessentially liable for this.
5.3. We do make no representations in respect of the reliability, truthfulness, or accuracy of any content posted on the Site.
5.4. You expressly understand and agree that Quintessentially shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Quintessentially has been advised of the possibility of such damages). Some jurisdictions do not allow the exclusion of the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.
5.5. This section applies only to the extent permitted by law.

6. CHANGES TO THESE CLUB RUES
6.1. QUBE may vary these QUBE Rules from time to time and will notify you of any changes in a timely manner through the Site or by e-mail.

7. COPYRIGHT

8. Quintessentially owns or is lawfully entitled to all of the copyright in this Site. All other intellectual property rights are reserved. This Site is for your personal use only - you may not use it for commercial purposes. You may only download to your personal computer for viewing purposes and print out a number of pages of this Site for your personal use. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, licence, create derivative works from, transfer or sell any information obtained from this Site.

9. APPLICABLE LAW JURISDICTION

10. These QUBE Rules and your QUBE Membership are governed by the laws of and and are subject to the exclusive jurisdiction of the courts of England and Wales.
